1. Introduction

Welcome to ZoneUp! These Terms and Conditions (‘Terms’) govern your access to and use of our mobile application (the ‘App’). By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.

2. Eligibility

You must be at least 18 years old to use the App. By using the App, you represent and warrant that you meet this eligibility requirement. ZoneUp is not intended for children under the age of 18. We do not knowingly collect personal information from children under 18. If we become aware that we have collected information from a child under 18, we will take steps to delete such information.

3. User Account

3.1 Account Creation

To access certain features of the App, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to engage in any of the following prohibited activities:

• Violate any applicable laws or regulations.

• Post or share content that is illegal, harmful, Pornography or offensive.

• Use the App to harass, threaten, or harm others.

• Share, post, or engage in any form of child endangerment, exploitation, or inappropriate interaction with minors. Our app includes a strict reporting system that allows users to immediately flag such content or accounts, and we take swift and decisive action against any violation.

• Privacy and child safety are our top priorities. Any post or user activity that violates these standards will be removed immediately, and appropriate actions will be taken.

• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

• Interfere with or disrupt the operation of the App or servers or networks connected to the App.

Violation of these terms may result in legal action being taken against you. This could include, but is not limited to, civil or criminal penalties under applicable laws and regulations.

5. Content Ownership and Licenses

5.1 Your Content

You retain ownership of any content you post on the App. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, distribute, modify, and display your content in connection with the App.

Content posted to the Nearby Feed, public communities, and profile pictures are public. You grant ZoneUp a worldwide, royalty-free license to host, display, and distribute this public content across the platform.

5.2 Our Content

All materials on the App, including text, graphics, logos, and images, are the property of ZoneUp or its licensors and are protected by copyright and other intellectual property laws. You agree not to reproduce, distribute, or create derivative works from our content without our express permission.

6. Termination

We reserve the right to suspend or terminate your account or access to the App at any time, with or without notice, if we believe you have violated these Terms or if we believe it is necessary to protect the security or integrity of the App.

7. Disclaimers and Limitation of Liability

7.1 Disclaimers

The App is provided ‘as is’ and ‘as available’ without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, secure, or error-free.

7.2 Limitation of Liability

To the fullest extent permitted by law, ZoneUp and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the App; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the App; or (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party.

7.3 Messaging Encryption and Technical Disclaimer

ZoneUp provides end-to-end encrypted messaging on a best-effort basis. ZoneUp, its operators, and affiliates shall not be held liable for any unintended decryption, interception, or exposure of communications caused by software defects, bugs, device vulnerabilities, or unauthorized third-party access.

All chat media is subject to a strict 1-year Time-To-Live (TTL) retention schedule. ZoneUp is not responsible for any loss of data or media occurring after this period.

8. Indemnification

You agree to indemnify, defend, and hold harmless ZoneUp and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the App or your violation of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

10. Changes to These Terms

We may modify these Terms from time to time. We will notify you of any changes by posting the updated Terms on the App and updating the ‘Last Updated’ date. Your continued use of the App after the posting of changes constitutes your acceptance of the updated Terms.
